1) Agreement to These Terms
By accessing or using cmg3tech.com, any related pages, forms, landing pages, client portals, and any services we provide (collectively, the “Services”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Services.
2) Who These Terms Cover (“All Parties”)
These Terms apply to:
- Website visitors
- Prospects and leads submitting forms
- Clients purchasing services or deliverables
- Users of any tools, downloads, templates, or resources we provide
- Anyone interacting with our email marketing, newsletters, or event communications
3) Scope of Services (“Land to Beach” Coverage)
CMG3 provides technology consulting and digital services that may include (as applicable): web design/development, automation, AI consulting, audits, strategy, branding support, content systems, integrations, training, and related professional services (the “Work”). Services may be delivered remotely and/or in person, and may involve third-party tools.
Important: The Services and Work may change over time. We may add, remove, or modify features without notice.
4) Eligibility and Accounts
You must be legally able to form a contract to use the Services. If you create an account or submit any form, you agree that the information you provide is accurate and that you will keep it updated.
5) Professional Disclaimer (No Guaranteed Outcomes)
CMG3 provides professional services and educational content. You understand and agree:
- Any examples, projections, or outcomes discussed are illustrative only.
- We do not guarantee results, rankings, revenue, leads, compliance approvals, or performance.
- You are responsible for business decisions and implementation choices.
6) Client Responsibilities
To deliver Work effectively, you agree to:
- Provide timely access to needed systems, accounts, content, approvals, and stakeholders
- Ensure you have rights to all materials you provide (logos, photos, copy, customer lists, etc.)
- Maintain backups and admin access to your own systems
- Use deliverables in compliance with applicable laws and third-party platform rules
Delays caused by missing access/approvals may affect timelines and may require rescheduling.
7) Fees, Payments, and Taxes
Fees, scope, and timelines are defined in your proposal, invoice, statement of work, or written agreement (the “Order Terms”). If there’s a conflict, the Order Terms control for that project.
You agree to pay all fees and applicable taxes. Late payments may pause work and/or delay delivery.
8) Refunds and Cancellations
Unless your Order Terms say otherwise:
- Deposits and setup fees are non-refundable once work begins.
- Completed work and time-based services (consulting, audits, strategy sessions) are non-refundable.
- If you cancel mid-project, you are responsible for fees incurred through the cancellation date.
9) Intellectual Property (IP)
Our IP: We retain all rights to our website content, processes, templates, frameworks, code libraries, brand assets, and original materials we create outside your specific deliverables.
Client Materials: You retain ownership of materials you provide to us.
Project Deliverables: Unless your Order Terms state otherwise, once payment is received in full, you receive a license to use the deliverables created specifically for you for your internal business use and marketing.
Restrictions: You may not resell, redistribute, or white-label our deliverables, templates, or training materials without written permission.
10) Third-Party Tools and Platforms
We may integrate or recommend third-party services (hosting, email tools, analytics, AI tools, CRMs, payment processors, etc.). Those services are governed by their own terms and policies, and CMG3 is not responsible for third-party outages, changes, suspensions, or data handling practices.
11) Acceptable Use
You agree not to misuse the Services. Prohibited conduct includes:
- Illegal activity, fraud, or infringement of rights
- Attempting to access systems, accounts, or data without authorization
- Introducing malware or disrupting site functionality
- Harassment, abusive behavior, or harmful content
- Using our systems, forms, or email communications to spam or violate platform policies (email providers commonly enforce strict anti-abuse rules)
We may suspend or terminate access for violations.
12) Email, SMS, and Marketing Communications
By submitting a form, booking a call, downloading a resource, becoming a client, or otherwise providing contact information, you may receive:
- Transactional messages (project updates, invoices, scheduling, service notices)
- Marketing messages (newsletters, promotions, event invitations)
Marketing consent: You agree that you will only subscribe contacts to marketing communications where you have appropriate permission.
Unsubscribe: Marketing emails will include a method to unsubscribe, and we honor opt-out requests. (Unsubscribe links are a standard legal/compliance expectation in email marketing ecosystems.)
List standards: We may refuse to send campaigns or set up automations using purchased lists or non-compliant lists, and we may pause work if list practices create deliverability or legal risk.
13) Privacy
Our Privacy Policy explains how we collect, use, and share information. The Privacy Policy is incorporated into these Terms by reference.
14) Disclaimers
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
15) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CMG3 WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR ANY DELIVERABLES.
IN ALL CASES, CMG3’S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID CMG3 FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS BEFORE THE EVENT.
(Limitation-of-liability and “as-is” structures are standard in strong ToS frameworks.)
16) Indemnification
You agree to defend, indemnify, and hold harmless CMG3 from claims, damages, liabilities, and expenses arising out of:
- Your content, data, lists, or materials you provide
- Your misuse of the Services
- Your violation of laws or third-party rights
- Your breach of these Terms
17) Termination
We may suspend or terminate access to the Services at any time if:
- You violate these Terms
- Your actions create legal, security, or reputational risk
- Nonpayment occurs (for client work)
Termination does not remove payment obligations for work performed.
18) Changes to These Terms
We may update these Terms from time to time. The “Effective Date” will change when updates are posted. Your continued use of the Services means you accept the updated Terms.
19) Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any disputes will be brought in the state or federal courts located in Florida, unless your Order Terms specify a different dispute process.
